Agreement
Who this agreement covers
This End-User License Agreement ("EULA") governs your use of Indieterminal software, interfaces, agents, and related documentation (the "Software"). By accessing or using the Software, you agree to this EULA and the Terms of Service. If you do not agree, do not use the Software.
You must have legal capacity to enter this agreement. If you act for a company or another organization, you confirm that you have authority to bind it. "You" includes that organization where applicable. Indieterminal is operated from India; questions about this agreement may be sent to hi@indieterminal.com.
License
Your right to use the software
Subject to this EULA, the Terms of Service, and your plan, Indieterminal grants you a limited, non-exclusive, non-transferable license to access and use the Software for your own personal or business purposes during your authorized access period. You may use generated deliverables in your business, subject to the rights and restrictions described below.
This license does not transfer ownership of the Software or authorize you to resell access, sublicense the platform, or provide it as a competing hosted service without a separate agreement. Your plan and workspace permissions determine the features, seats, usage limits, and integrations available to you.
Ownership
Our software and your work
Indieterminal and its licensors retain their rights in the underlying Software, proprietary pipeline runtime, interface, documentation, and brand. Third-party and open-source components remain subject to their respective licenses; this EULA does not replace those licenses.
You retain your rights in the content, code, documents, and other material you provide. You grant us the limited rights needed to host, process, and display that material to operate the Service, as described in the Terms of Service and Privacy Policy. This EULA does not grant Indieterminal ownership of your repositories or company records.
Your use of generated code, reports, charts, and other outputs remains subject to applicable law and third-party rights. Outputs may be similar to those produced for other users, may contain errors, and are not guaranteed to be unique or free of third-party restrictions.
Accounts
Workspace access and connected services
Keep your account and credentials secure, manage workspace permissions responsibly, and connect only accounts and resources you are authorized to access. An organization administrator may manage access within the workspace according to the Service settings.
Connecting a third-party app authorizes the configured access for that workspace. The third-party provider's terms, permissions, availability, and charges also apply. Review requested permissions before connecting and revoke access when no longer needed. Disconnecting a service does not undo actions already completed or delete copies already exported to it.
Agents & automation
Instructions, review, and approvals
Agents may read authorized sources, run code in isolated environments, generate files, and carry out configured tasks. Scheduled rules and event monitors may start work without another prompt when their configured conditions are met. Review their instructions, scope, usage limits, and enabled state.
Review outputs and proposed external actions carefully. Use the approval controls provided by the Service and verify the destination, recipients, content, and effect before approving. Approval does not guarantee that an output is accurate, safe, or appropriate. Do not bypass approval gates or use automation to obtain access you do not otherwise have.
You are responsible for evaluating generated code before deployment, checking calculations and documents before relying on them, and maintaining appropriate backups. Generated material is informational and does not replace professional legal, financial, medical, or other advice.
Restrictions
Use the software lawfully
Do not use the Software to infringe rights, distribute malware, send unlawful spam, harass others, obtain unauthorized access, or process material you have no right to use. Do not circumvent security controls, credit limits, access permissions, or usage restrictions, or disrupt the Service for others.
Do not copy, modify, reverse-engineer, decompile, or redistribute the underlying Software except with our permission or to the extent applicable law or a third-party license permits. These restrictions do not limit rights that cannot lawfully be excluded, including applicable software interoperability exceptions.
Privacy
How information is handled
The Privacy Policy explains how account information, workspace content, usage records, and connected-service information are handled. Use the Service only with the permissions and legal basis required for the information you submit or make available through a connector.
Do not provide secrets or sensitive information unless the feature is intended to receive it and you are authorized to share it. Access, correction, export, and deletion requests can be sent to hi@indieterminal.com from your registered account address.
Plans & updates
Subscriptions and changes
Pricing, credits, renewal, cancellation, and refund terms are governed by the Terms of Service and the terms presented at checkout. This EULA does not create a separate subscription or change those commercial terms.
We may maintain and update the Software as described in the Terms of Service. Features that depend on third-party providers may change or become unavailable. Unless separately agreed in writing, this EULA does not promise uninterrupted availability or a particular service level.
Disclaimers
Availability and reliability
To the extent permitted by applicable law, the Software and generated outputs are provided on an "as available" basis without additional warranties under this EULA. We do not guarantee that they will be uninterrupted, error-free, complete, or suitable for every intended purpose.
The limitations of liability in the Terms of Service apply to this EULA. Nothing in this agreement excludes liability or limits consumer rights, statutory warranties, or other protections that cannot lawfully be excluded or limited.
Termination
When access ends
You may stop using the Software at any time. Subscription cancellation, suspension, and termination are governed by the Terms of Service. We may restrict access for a material breach, non-payment, unauthorized use, or a risk to the Service or other users, subject to applicable law.
When your authorization ends, stop using the affected Software and credentials. Existing third-party licenses and your rights in your own content remain unaffected. Data handling and any available export or deletion process remain subject to the Privacy Policy and Terms of Service. Ownership, accrued obligations, disclaimers, and liability provisions survive as applicable.
General
Related terms, governing law, and contact
Read this EULA together with the Terms of Service and Privacy Policy. The Terms of Service govern subscription, commercial, and general service matters; the Privacy Policy governs personal-information handling. A separate written agreement expressly covering the same subject takes precedence to the extent of a conflict.
This EULA follows the governing-law and dispute provisions in the Terms of Service, including their protection for mandatory rights under the law of your residence. If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
We may update this EULA by publishing a revised version with an effective date and providing notice of material changes where required. Contact hi@indieterminal.com with questions before continuing to use the Software if you do not agree to a change.
